Board Members
The election of company directors, unless otherwise stipulated by laws or articles of incorporation, shall follow the company’s “Directors Election Regulations.” To enhance the effectiveness of directors’ duties, we will keep pace with the times, considering internal and external environmental changes and development needs to arrange annual training courses to improve directors’ professional knowledge.
To strengthen the diversity of our board members, the company’s “Corporate Governance Guidelines” specify that the board as a whole should possess capabilities in operational judgment, accounting and financial analysis, business management, risk management, crisis management, industry knowledge, international market perspective, leadership, and decision-making.
The company has established “Board Performance Evaluation Guidelines” to regularly evaluate the performance of the board and individual directors annually, serving as a reference for director selection. The evaluation results will be used as references for director reappointment and new successor selection.
Key Management Personnel
Regarding succession planning for key management personnel, we implement departmental strategic rotation to develop core decision-making abilities and comprehensive business operation vision for senior executives. Personal characteristics must include integrity, innovation, and the ability to earn customer trust to shoulder the important responsibility of organizational sustainable operation.
The company conducts employee performance evaluations semi-annually. Management observes daily performance and conducts regular performance evaluation interviews to understand employees’ management competency gaps and their personal career expectations, using evaluation and interview results as reference for succession planning.
Following annual overall business objectives and company mid-to-long-term development needs, we regularly review the internal talent pool system to ensure balanced depth and breadth in cultivation, continuously strengthening the development and experience of key management succession talent pool to achieve succession planning.
